TERMS AND CONDITIONS OF SALE
1. General
1.1 These Terms and Conditions (“Terms”) govern the sale of marble, granite, quartzite, and other natural stone products (“Goods”) by Top Stone Centre (“Supplier”) to the buyer (“Customer”).
1.2 By placing an order, the Customer agrees to be bound by these Terms and the Supplier’s Return & Refund Policy.
1.3 These Terms apply to all sales whether made in person, by phone, or electronically.
2. Orders
2.1 All orders are subject to acceptance and availability.
2.2 The Supplier reserves the right to refuse or cancel any order at its discretion.
2.3 No contract shall exist until the Supplier confirms acceptance of the order.
3. Prices and Payment
3.1 Prices are as stated in the quotation or invoice and are exclusive of VAT unless otherwise stated.
3.2 Payment terms are as specified on the invoice or website.
3.3 For bank transfers:
- Payment must be made within 48 hours
- Order reference must be used
- Proof of payment must be sent to the Supplier
- Goods will not be released until funds are cleared
3.4 Failure to pay within 48 hours may result in automatic cancellation of the order.
4. Delivery and Unloading
4.1 Delivery dates are estimates only and are not guaranteed.
4.2 The Customer is responsible for ensuring suitable access and unloading arrangements.
4.3 Deliveries require suitable unloading equipment (e.g. forklift). Manual unloading will not be provided unless a Hiab/crane service has been agreed in advance.
4.4 The Customer is fully responsible for unloading Goods upon delivery.
4.5 The Supplier accepts no liability for damage, injury, or loss occurring during unloading, whether carried out by the Customer or third parties.
5. Inspection and Acceptance (Slab Supply Only)
5.1 This clause applies only to full slabs or materials supplied prior to any cutting, fabrication, processing, or installation.
5.2 The Customer, fabricator, installer, or any person accepting the Goods must inspect the slabs at the time of delivery or collection before acceptance.
5.3 By signing the delivery note, the Customer confirms that the full slabs have been inspected and accepted in satisfactory condition, including:
- visible appearance
- colour, veining, and texture
- dimensions and thickness
- visible defects or transport damage
5.4 Once Goods are accepted and signed for, they are deemed fully inspected and accepted.
5.5 Any claims must be raised before cutting, fabrication, processing, or installation.
5.6 Once slabs have been cut, fabricated, processed, or installed, all Goods are deemed accepted in full and no claims shall be accepted from the Customer, fabricator, installer, or end user.
6. Unsatisfactory Condition (Rejection of Slabs Only)
6.1 This section applies only at the point of delivery or collection of full slabs prior to fabrication.
6.2 Goods may only be rejected where there are clearly visible and significant issues, including:
- major cracks or breakage
- significant transport damage
- incorrect material supplied
6.3 The Customer must refuse delivery and notify the Supplier immediately at the time of delivery.
6.4 Once Goods are accepted, signed for, cut, or fabricated, rejection is not permitted under any circumstances.
7. Returns and Refunds (Slabs)
7.1 Returns and refunds are governed strictly by the Supplier’s Return & Refund Policy.
7.2 No returns or refunds apply for:
- change of mind
- natural stone characteristics
- goods accepted upon delivery
7.3 Cancellation on the scheduled delivery day incurs a £120 administration fee.
7.4 If cancellation occurs after arrival of the delivery vehicle, the Customer is liable for:
- £120 administration fee
- full delivery charge
8. Cut-to-Size Orders (Non-Cancellable)
8.1 Any cut-to-size, fabrication, or custom order is strictly non-cancellable and non-refundable once processing begins.
8.2 Processing begins only after full payment is received and cleared.
8.3 Once cutting or fabrication has started, no cancellation, refund, or amendment is permitted.
9. Natural Stone and Characteristics
9.1 Natural stone is a naturally occurring material and may include:
- resin-filled fissures
- hairline cracks
- colour variation and veining
- pitting and natural markings
- thickness variation within industry tolerances (±1–2mm)
9.2 These characteristics are not defects and are not grounds for rejection or refund.
9.3 Thicknesses are nominal only and variations must be allowed for during fabrication and installation.
10. No Warranty and Use of Stone
10.1 The Supplier provides no warranty regarding:
- durability
- performance
- suitability for any purpose
- resistance to staining, etching, or wear
10.2 Natural stone may:
- stain
- etch
- absorb liquids
- change appearance over time
10.3 The Customer is responsible for:
- selection of material and finish
- sealing and maintenance
- suitability for application
11. Limitation of Liability
11.1 The Supplier’s liability is strictly limited to the value of the Goods supplied.
11.2 The Supplier is not liable for:
- indirect or consequential loss
- loss of profit or business
- installation or fabrication costs
- damage after delivery or acceptance
12. Governing Law
12.1 These Terms are governed by the laws of England and Wales.
12.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Miscellaneous
13.1 No waiver of any term is valid unless in writing.
13.2 If any provision is found unenforceable, the remaining Terms remain valid.
